Your Role:
The Junior Legal Counsel/Legal Secretary will provide adminstrative and legal support to the in-house Legal Team and Director/CEO.
1. Administrative Support
- Maintain and organize legal files, databases, and records, ensuring confidentiality
- Schedule and coordinate meetings
- Handle communication with internal departments
- Track deadlines and ensure timely submission of documents
2. Legal Support
- Coordinate and schedule Board of Directors meetings, shareholder meetings, and committee meetings in accordance with the company’s governance policies and legal requirements
- Maintain a calendar of key governance events and ensure timely reminders to all relevant parties
- Verify quorum requirements and confirm the availability of participants to ensure meetings are properly convened
- Draft and circulate meeting notices to directors, shareholders, and other relevant stakeholders, ensuring compliance with statutory notice periods and the company’s articles of association and other applicable internal documentation
- Include agendas, supporting documentation, and any necessary briefing materials with the meeting notice
- Track acknowledgment and confirmations of receipt of notices from recipients
- Record comprehensive and accurate minutes during board and shareholder meetings, ensuring key discussions, decisions, and actions are documented clearly
- Finalize minutes promptly after the meeting, circulate draft minutes for review, and address feedback before obtaining approval
- Ensure signed copies of the minutes are stored securely in compliance with legal requirements and internal policies
- Keep the company’s statutory registers (e.g., shareholder register, register of directors) updated and accurate
- Regularly review and audit corporate records to identify and rectify discrepancies
3. General Duties:
- Handle ad hoc legal and administrative tasks as assigned by the Head of Legal and/or Senior Corporate Legal Counsel and/or Director/CEO
- Contribute to the drafting, reviewing and proofreading of legal documentation (merchant and payment services agreements, reseller agreements, introducer/referral agreements, confidentiality and non-disclosure agreements, internal policies, etc.) relevant to payment processing services being rendered by the company
- Conduct in-depth research on laws, regulations, and legal precedents within the AIFC and the Republic of Kazakhstan jurisdictions relevant to the company’s operations and summarize findings in concise reports to support decision-making by senior legal team members
- Stay updated on changes in legislation and industry standards that may impact the company
Requirements:
· Bachelor's degree in law from a reputable university
· PQE 1+ years of relevant experience
- Experience as in-house lawyer/legal secretary in software development companies and/or financial technology companies and/or payment institutions
- Experience in a law firm, in particular, in Digital, FinTech, IT/IP, Banking, Finance, or Capital Markets practice(s) is considered as an advantage
- Hands-on experience in corporate governance is considered as an advantage
· Keen understanding of the common law jurisdictions
- Deep academic knowledge and/or hands-on experience within the AIFC jurisdiction is considered as an advantage
· Excellent drafting skills
· Strong analytical skills, attention to detail
· Strong ethical standards and adherence to confidentiality requirements
· Willingness to develop legal expertise
· Excellent verbal and written communication skills in English including legal terminology
· Knowledge of the Russian language is considered as an advantage
